Terms of Service

1. Acceptance of Terms

Welcome to Valyzen Travel (travel.valyzen.com), operated by Valyzen ("Valyzen," "we," "us," or "our"). By accessing or using our website, mobile applications, APIs, or any services we offer (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Valyzen. Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age to use the Service and to book flights through Valyzen Travel. By using the Service, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that your use of the Service complies with all applicable laws and regulations.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, in which case "you" refers to that entity.

3. Account Registration

To access certain features of the Service, including searching for flights and making bookings, you must create an account. Account authentication is managed through AWS Cognito, and you may register using your email address and password or through supported passkey authentication.

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for safeguarding your account credentials, including any passkeys associated with your account. You must notify us immediately at support@valyzen.com if you suspect unauthorized access to or use of your account.

You are responsible for all activities that occur under your account. Valyzen reserves the right to suspend or terminate your account at any time if we reasonably believe that your account has been compromised or that you have violated these Terms.

4. Description of Service

Valyzen Travel is an AI-powered online travel platform that allows users to search for and book flights. Valyzen acts as a technology intermediary that facilitates flight bookings through the Duffel API, which connects to airlines and their inventory systems. Valyzen is not an airline, travel agent, or tour operator.

The Service includes AI-powered price negotiation, in which automated buyer and merchant agents negotiate flight prices on your behalf. Flight search results, availability, pricing, and booking confirmations are sourced from Duffel and the underlying airline partners.

Valyzen does not control airline schedules, flight operations, seat availability, baggage policies, or any other aspect of the air transportation itself. The airline identified on your booking confirmation is solely responsible for operating the flight and providing the air transportation services.

5. AI-Powered Negotiation

Valyzen uses automated artificial intelligence agents to negotiate flight prices. When you initiate a negotiation, a Buyer Negotiation Agent (acting on your behalf) and a Merchant Negotiation Agent (representing Valyzen's pricing rules) engage in an automated negotiation session coordinated by an Arbiter Negotiation Agent.

By using the negotiation feature, you acknowledge and agree to the following:

  • No guaranteed outcome. AI negotiation results are not guaranteed. The final negotiated price may be higher than, lower than, or equal to the initially displayed fare. There is no guarantee that any particular discount will be achieved.
  • Maximum negotiation rounds. Each negotiation session is limited to a maximum of 5 rounds. If the agents do not reach agreement within 5 rounds, the negotiation will conclude, and you may choose to accept the last offered price or start a new session.
  • Price variability. Negotiated prices may differ from fares listed on airline websites or other travel platforms. Prices are determined dynamically by the AI agents based on multiple factors including fare class, route, demand, and Valyzen's pricing rules.
  • Time sensitivity. Negotiated prices are valid only for a limited time. Flight prices and availability change frequently, and a negotiated price may expire if not accepted promptly.
  • Automated decisions. The negotiation is fully automated. Valyzen does not manually intervene in individual negotiation sessions. The AI agents operate within predefined pricing rules and parameters.

6. Pricing and Transparency

All prices displayed on Valyzen Travel include applicable taxes, fees, and surcharges at the time of display. There are no hidden charges. The price you see at checkout confirmation is the total price you will be charged.

Prices are displayed in the currency provided by the airline through Duffel for the specific route. Valyzen does not perform currency conversion. If your payment method uses a different currency than the displayed fare currency, your bank or card issuer may apply its own currency conversion rate and fees, which are outside Valyzen's control. Valyzen is not responsible for any exchange rate differences or conversion fees applied by your financial institution.

7. Booking and Payment

When you accept a negotiated price and proceed to payment, you are making a binding commitment to purchase the flight at the agreed-upon price. Payment is processed through Duffel's balance payment system, where Valyzen maintains a merchant balance with Duffel to facilitate transactions.

By completing a booking, you agree that:

  • The booking becomes binding once payment is confirmed. You are entering into a contract with the operating airline for air transportation, with Valyzen acting as the technology intermediary that facilitated the booking.
  • All passenger information (names, dates of birth, travel documents) must be accurate and match the traveler's government-issued identification. Errors in passenger information may result in denied boarding, and Valyzen is not responsible for issues arising from inaccurate information you provide.
  • You are responsible for ensuring that all travelers have valid passports, visas, and any other travel documents required for the itinerary.
  • Valyzen reserves the right to cancel bookings that we reasonably suspect are fraudulent or that violate these Terms.

8. Cancellations, Changes, and Refunds

Cancellation and change policies for your booking are determined by the airline's fare rules applicable to the ticket purchased. Valyzen does not set these policies and cannot override them.

US DOT 24-Hour Cancellation Rule. In compliance with the U.S. Department of Transportation regulations, bookings made at least seven (7) days before departure may be cancelled for a full refund within 24 hours of booking, provided the booking was made directly through Valyzen Travel. This right applies regardless of fare type.

For cancellations or changes outside the 24-hour window, the following applies:

  • Cancellation and change fees are determined by the airline's fare rules and may vary by fare class, route, and airline.
  • Refund eligibility and amounts are subject to the airline's refund policies. Some fare classes are non-refundable.
  • Valyzen will facilitate cancellation and change requests through Duffel, but we cannot guarantee that changes or cancellations will be accepted by the airline.
  • Processing times for refunds depend on the airline and your payment provider. Valyzen is not responsible for delays in refund processing by third parties.

Airline-initiated changes. Airlines may change flight schedules, routes, or cancel flights at any time. Such changes are outside Valyzen's control. Valyzen will make reasonable efforts to notify you of significant airline-initiated changes but is not liable for any disruption, cost, or inconvenience caused by airline schedule changes, cancellations, delays, or diversions.

9. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any fraudulent, deceptive, or illegal purpose, including but not limited to booking flights with stolen payment credentials or false identity information.
  • Attempt to manipulate, exploit, or reverse-engineer the AI negotiation system, including scripting or automating interactions to gain unfair pricing advantages.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service, including through denial-of-service attacks, injection attacks, or other malicious activity.
  • Scrape, crawl, or use automated means to extract data from the Service without our prior written consent.
  • Use the Service to book flights for the purpose of speculative resale or arbitrage without actually intending to travel.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
  • Violate any applicable local, state, national, or international law or regulation.

Valyzen reserves the right to investigate and take appropriate action against anyone who, in Valyzen's sole discretion, violates these provisions, including suspending or terminating the offender's account and reporting such conduct to law enforcement authorities.

10. Intellectual Property

The Service, including all content, features, functionality, software, text, graphics, logos, trademarks, and the underlying AI negotiation technology, is owned by Valyzen or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof without our express written permission.

The Valyzen name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Valyzen. You may not use these marks without the prior written permission of Valyzen.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data, including data processed by our AI agents during fare reconciliation sessions. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Valyzen does not warrant or represent that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The AI negotiation system will achieve any particular pricing outcome or discount level.
  • Flight information, including prices, schedules, availability, and fare rules, will be accurate or up-to-date at all times. This information is sourced from Duffel and airline partners and may change without notice.
  • Currency conversion rates applied by your financial institution will match the rates displayed or implied during booking.
  • The Service will be compatible with all devices, browsers, or operating systems.

Valyzen is a technology platform and does not provide air transportation services. All flights are operated by the airline identified on your booking confirmation. Valyzen is not responsible for the acts, omissions, delays, or cancellations of any airline, airport, government authority, or other third party.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALYZEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party on the Service, including airlines, Duffel, or other users.
  • Any AI negotiation outcome, including prices that are higher than, lower than, or different from prices available through other channels.
  • Airline schedule changes, flight cancellations, delays, overbooking, or denied boarding.
  • Currency conversion rates, exchange rate fluctuations, or fees applied by your financial institution.
  • Unauthorized access to or alteration of your account or data.

IN NO EVENT SHALL VALYZEN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VALYZEN IN SERVICE FEES (EXCLUDING FLIGHT COSTS PAID TO AIRLINES) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

14. Indemnification

You agree to defend, indemnify, and hold harmless Valyzen, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity under your account.
  • Your violation of these Terms.
  • Your violation of any rights of a third party, including any airline, fellow traveler, or other user.
  • Any inaccurate or incomplete information you provide, including passenger details, travel documents, or payment information.
  • Your violation of any applicable law or regulation.

15. Dispute Resolution and Arbitration

Informal Resolution. Before filing any formal dispute, you agree to first contact Valyzen at legal@valyzen.com and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved without formal proceedings.

Binding Arbitration. If the dispute cannot be resolved informally, you and Valyzen agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND VALYZEN AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Arbitration Opt-Out. You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@valyzen.com within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts specified in Section 16.

Exceptions. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

16. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

To the extent that litigation is permitted under these Terms (including if you opt out of arbitration), you and Valyzen consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, and waive any objections based on inconvenient forum.

17. Third-Party Services

The Service relies on third-party services including, but not limited to, Duffel (for flight search, booking, and payment processing), AWS (for infrastructure and authentication), and airline partners (for flight operations). Valyzen is not responsible for the availability, accuracy, or performance of any third-party service.

Your interactions with airlines, including the contract of carriage, are governed by the airline's own terms and conditions. Valyzen is not a party to the contract of carriage between you and the airline.

18. Termination

You may terminate your account at any time by contacting us at support@valyzen.com. Valyzen may suspend or terminate your account or access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service ceases immediately. Any existing bookings made prior to termination will remain subject to the airline's fare rules and these Terms. Sections that by their nature should survive termination (including Sections 10, 12, 13, 14, 15, 16, and 20) shall survive any termination of these Terms.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Valyzen with respect to your use of the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Valyzen regarding the Service.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Valyzen's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

21. Changes to Terms

Valyzen reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through a prominent notice on the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and terminate your account.
